Use of the e-Shop
Welcome to the Millicent's Closet (the "e-Shop" in future). By entering our e-Shop, you agree to these terms and conditions (the "Terms").
Millicent's Closet is an online service of Millicent's Closet (Millicent's Closet "We/our/us") provided for your personal use only, for the purpose of sale of clothing, accessories and other Items ("Items").
We have taken great care and placed a lot of effort to ensure that the Items on our e-Shop look exactly as they do in real life. However, color clarity will depend upon your own monitor and Millicent's Closet therefore cannot guarantee that the color of the item purchased is absolutely accurate. Please read through these Terms before placing your order on our e-Shop
By using this site you agree to comply with these Terms.
In order to be able to make purchases through the Millicent's Closet e-Shop, you will be requested to register and provide your personal details. We will ask for your real name, contact phone number, e-mail address and other requested information as indicated. Moreover, when placing an order, you will be required to provide payment details and be able to prove that the payment details you have submitted are both valid and correct and you state, that you are the person referred to in the billing information provided.
The e-Shop is available only to individuals who meet the Millicent's Closet terms of eligibility, who have been issued a valid credit card and who have authorized Millicent's Closet to process a charge or charges on their credit card in the amount of the total purchase price for the item or items. We reserve the right to restrict multiple quantities of a specific item being shipped to any one customer or postal address.
By making an offer to purchase merchandise, you authorize Millicent's Closet to perform credit checks and to transmit or to obtain information (including any updated information) about you to or from third parties, including but not limited to your credit-card number or credit reports (including credit reports for your spouse if you reside in a community property jurisdiction), to authenticate your identity, to validate your credit card, to obtain an initial credit card authorization and to allow individual purchase transactions.
You agree not to impersonate any other person or entity or to use a false name or a name that you are not authorized to use.

We may modify these Terms at our sole discretion. If you do not agree to the changes to these Terms, you need to stop using this e-Shop. By using this E-shop after any such change(s), you agree to comply with the Terms as changed. Any changes made after you have placed an order with us, will not affect that order, unless we are required to make the change by law.
Making a purchase
When you make a purchase through the Millicent's Closet, you are offering to buy it for the price stated, subject to these Terms.
All orders are subject to acceptance and availability.
Placing an Order
We will guide you through the process of placing an order by a set of instructions on the E-shop. You place your order for any selected items by clicking on the [Submit] button at the end of the on-line order form.
Once you have placed your order, we will send you an email acknowledging the exact details of your order, providing you with a payment reference and the value of your order that will be debited from your credit card. Please bear in mind, that this is not an order confirmation or order acceptance from Millicent's Closet.
Unless we have notified you, that we do not accept your order, or you have canceled your order in accordance with the Returns policy, our acceptance of your order and the completion of the contract between you and us will take place when you receive an email from us notifying you, that we have dispatched the Items ordered by you.
Our acceptance of your order will be deemed complete and received by you at the time and date of sending off the email. The deemed time and date of receipt by you shall apply regardless of technical problems you may experience with your PC, for reasons outside our control, you have not received that email.

We may not accept your order if:
- an item you have ordered is out of stock.
- we are unable to obtain authorization for your payment.
- we identify a product or pricing error.
We reserve the right to reject any offer to purchase by you at any time and at our sole discretion.
We will try to keep our E-shop as up to date as possible, but cannot guarantee that any particular Item will always be available. If we can't supply any Item, we will release the funds being held to your account immediately.
Pricing Policy
At the Millicent's Closet, you are given an opportunity to select your preferred currency. You may choose between Philippines Pesos, US Dollar, and UAE Dirham. Price converters are located in the top right corner of our e-Shop. Prices vary due to shipping expenses and tax.
We are offering our customers the Delivery Duty Unpaid (DDU) system, which means that you will only be charged for the items purchased and shipping cost. Import duty and tax cost will be invoiced to you directly by (Xend, Jam Global, MC Express depending on your shipping address/region) or an import broker appointed by you. We recommend that you contact your local customs authority to specify a cost price prior to purchase completion.
Product prices are set at the beginning of each season, using existing currency exchange rates. These prices are subject to change if the applicable currency exchange rate changes before your order is accepted or the items are subject to markdowns at any time during the selling period.
Payment
Payment will be debited and cleared from your account upon dispatch of your order by Millicent's Closet. You confirm that the credit card that is being used is yours or that you have been specifically authorized by the owner of the credit card to use it. All credit card holders are subject to validation checks and authorization by the card issuer.
If the issuer of your payment card refuses to authorize payment to Millicent's Closet, we will not be liable for any delay or non-delivery.
At Millicent's Closet we take the essential precaution to make our Site secure.
All credit card transactions on Millicent's Closet E-shop are processed using a secure online payment gateway that encrypts your card details in a secure host environment.
To help ensure that your shopping experience is safe, simple and reliable Millicent's Closet uses Secure Socket Layer (SSL) technology through Paypal.
Moreover, we will take all reasonable care, as it is in our power to do so, to keep the details of your order and payment secure. In the absence of negligence on our part we cannot be held liable for any loss you may suffer, if a third party procures unauthorized access to any data you provide when accessing or ordering from the e-Shop.
Returns
Customer satisfaction is always our top priority, and as such we handle each query on an individual basis to the best of our ability. While we hope that you are always delighted with your order, if you are not perfectly satisfied with your goods we will happily offer you a full refund or exchange within a 14 days’ time frame after receipt of your goods.
We would like to highlight that in order to receive a refund or exchange, the item(s) must be unworn and in perfect condition, with all the labels attached and in the original packaging. Where provided, any designer packaging such as authenticity cards, dust bags and leather tags should be included with your return.
Briefs, swimming costumes and bikini bottoms should be tried on over underwear. Returns may not be accepted if the protection strip has been removed (swimming wear) or if the items are soiled (lingerie), and will be sent back to the customer plus shipping cost.
Please be aware that due to hygiene reasons make-up and cosmetics items are not accepted for returns and exchanges.
All returns should be sent back to us in their original packaging provided. Please ensure when returning the parcel that Millicent’s Closet box is properly protected.
PLEASE NOTE: New and unused means that there are no marks on the item or any wear on the tags. We do not sell used items and will not accept any item with any indication that it was used. In such cases, the item will be returned to the purchaser. Millicent’s Closet is not responsible for any item that is not returned in the manner set forth above.

Exchanges
Please note, that we can only exchange items for a different size and only within a 14 day time frame after you have received your goods.
When requesting your RAN (Return Authorization Number), please specify the new size you require. If you wish to exchange your item for an alternative style or an item of a different category (i.e. exchange shoes for the purse), we suggest that you return it, receive a refund and purchase the new item separately.
Your refund will be credited to the original purchaser's credit card and will exclude shipping costs (with the exception of faulty items) which we deduct to cover the cost of our collection service.
Customs duties and sales taxes are non-refundable through Millicent's Closet. Please note that exchanges will be submitted to the same customs procedures, therefore are applicable for duty and tax again.
Gift returns
If you have received an item from Millicent's Closet as a gift, you can exchange it for another item of the same value and pay the additional shipping, taxes, import duties and any additional charges which may incur as a result of the exchange.

Passing of property and risk
We will retain the legal ownership of the Items, until full payment has been made by you and such payment has been received by us. Legal ownership of the Items will immediately revert to us, if we refund any such payment to you.
Risk on the Items will pass to you upon delivery and signing the papers.

Privacy policy
Millicent's Closet highly respects the privacy rights of its online customers and recognizes the importance of protecting the information collected about them. We will only use the information that we collect about our customers lawfully. We will treat all the personal details of our customers confidential and reserve the right to disclose this information only in the circumstances set out below. We will keep all the gathered data on a secure server at all times. When you register on this E-shop, or make a purchase, we will ask you to input and will collect personal details from you such as your full name, e-mail address, billing address and telephone number. We may also gather, and our third party providers may gather, information about where you are on the internet (e.g. the URL you came from, IP address, domain types like .ae and .com), your browser type, the country and telephone area code where your computer is located, the pages of Millicent's Closet e-Shop that were viewed during your visit, any advertisements you may have clicked on, and any search terms that you entered on our e-Shop.
We use your information only for the following purposes:
- maintaining your registration.
- for statistical purposes to improve this e-Shop and its services to you.
- to serve e-Shop content to you.
- to administer this e-Shop.
- if you agree, to notify you of products or special offers that may be of interest to you (however, every time we contact you after this, you will have an opportunity to unsubscribe from our mailing list).
- if you agree, to send you information by post or email (however, every time we contact you after this, you will have an opportunity to unsubscribe from our mailing list).
We will not release your personal details to any other company outside of Millicent's Closet.
Please be aware that if we are requested by the police or any other regulatory or government authority investigating suspected illegal activities to provide your personal details and /or user information, we are entitled do so.
How can I be sure my personal details are safe?
Be rest assured that all personal details you provide to us are dealt with in the strictest confidentiality. Nothing goes further than Millicent's Closet without your written consent.
To register with Millicent's Closet, we will need to know your name, postal and email address.
To process your order online we also require details of your billing address, shipping address, telephone number and credit card information.
Please note that Millicent's Closet may also use this information to inform you of new goods and services via email. If you would rather not receive these alerts, please inform us by sending a quick email with the subject 'Stop' to unsubscribe@millicentscloset@gmail.com

All content available on the Millicent's Closet e-Shop, including, but not limited to, text, graphics, logos, buttons, icons, images, audio clips, data compilations, and software, and the compilation thereof (the "Content") is the property of Millicent's Closet, our affiliates, our partners or our licensors, and is protected by international copyright laws.
The trade marks, logos, and service marks displayed on the Website (collectively, the "Trade Marks") are the registered and unregistered marks of Millicent's Closet, our affiliates, our licensors or our partners, in the Philippines and other countries, and are protected by Philippine and international trade mark laws. All or any other trademarks not owned by us, our affiliates, our partners or our licensors that appear on the e-Shop are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us.
Except as set forth in the limited license in the section entitled "Limited License" below, or as required under applicable law, neither the Content, the Trade Marks, nor any other portion of the e-Shop may be used, reproduced, duplicated, copied, sold, resold, accessed, modified, or otherwise exploited, in full or in part, for any purpose without our prior written consent.
For the avoidance of doubt, Millicent's Closet does not make any warranty or representation in respect of any other trade mark and all the trade marks presented at the e-shop belong to their respective owners.
Limited License
We grant you a limited, revocable, and non-exclusive license to access and make personal use of the e-Shop. Please note that you may not frame, link to, or utilize any framing or linking techniques to enclose the e-Shop or any portion thereof without our prior written consent which may be withheld in our absolute discretion.
The limited license set forth in this section does not include the right to:
- modify or download the e-Shop or its contents (except caching or as necessary to view content)
- make any use of the e-Shop or its Content other than personal use
- create any derivative work based upon either the e-Shop or its Content
- collect account information for the benefit of another party
- use any meta tags or any other "hidden text" utilizing our name or the Trade Marks without our express written consent
- use software robots, spiders, crawlers, or similar data gathering and extraction tools, or take any other action that may impose an unreasonable burden or load on our infrastructure.
You are granted a limited, revocable, and non-exclusive right to create a hyperlink to the home page of the e-Shop for personal, non-commercial use only.
A website that links to our e-Shop may:
- link to, but not replicate, our Content
- not imply that we are endorsing such website or its services or products
- not misrepresent its relationship with us
- not contain content that could be construed as distasteful, obscene, offensive or controversial, and may contain only content appropriate for all ages
- not portray us or our products, services or Items, in a false, misleading, derogatory, or otherwise offensive or objectionable manner, or associate us with undesirable products, services, or opinions
- not use any Trade Mark without our prior written consent
- not link to any page of the e-Shop other than the home page. We may, in our sole discretion, request that you remove any link to the e-Shop, and upon receipt of such request, you shall immediately remove such link.
Any unauthorized use by you of the e-Shop, terminates the limited license set forth in this section without prejudice to any other remedy we may have provided for by applicable law.

We are not responsible for the content of any off-e-Shop pages or any other websites linked to or from Millicent's Closet e-Shop. Links appearing on the e-Shop are for convenience only and are not an endorsement by us, our affiliates or our partners of the referenced content, product, service, or supplier. Your linking to or from any off-e-Shop pages or other websites is at your own risk. We are in no way responsible for examining or evaluating, and we do not warrant the offerings of, off-e-Shop pages or any other websites linked to or from the e-Shop, nor do we assume any responsibility or liability for the actions, content, products, or services of such pages and websites, including, without limitation, their privacy statements and Terms. You should carefully review the Terms and privacy policies of all off-e-Shop pages and other websites that you visit.
Representations and Warranties: Limitations of Liability
We make no representations or warranties of any kind whatsoever, expressed or implied, in connection with these terms or the e-Shop, including but not limited to warranties of satisfactory quality, non-infringement or fitness for a particular purpose, except to the extent such representations and warranties are not legally excludable.
You agree that, to the fullest extent permitted by applicable law, we will not be responsible or liable (whether in contract, tort or otherwise), under any circumstances, for any:
- interruption of business
- access delays or access interruptions to the e-Shop
- data non-delivery, mis-delivery, corruption, destruction or other modification
- loss or damages of any sort incurred as a result of dealings with or the presence of off-e-Shop links on the e-Shop
- computer viruses, system failure or malfunction which may occur in connection with your use of the e-Shop, including during hyperlink to or from third party websites
- any inaccuracies, omissions or misleading, false or deceptive statement in the content; or
- events beyond our reasonable control.
Further, to the fullest extent permitted by law, we will not be liable for any direct, indirect, special, incidental, or consequential damages of any kind (including lost profits) related to the e-Shop regardless of the form of action whether in contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such damages. Because some countries do not allow the exclusion or limitation of liability for consequential or incidental damages, in such countries, our liability is limited to the maximum extent permitted by applicable law.
Disputes
To the fullest extent permitted by applicable law, any dispute relating in any way to your visit to the e-Shop and any purchase by you of any items from Millicent's Closet shall be submitted to confidential arbitration in Philippines, except that, to the extent you have in any manner violated or threatened to violate our intellectual property rights, we may seek injunctive or other appropriate relief in the Philippine Courts, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this agreement shall be conducted under the rules then prevailing of the International Chamber of Commerce. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise. To the extent arbitration is not permitted by applicable law, any dispute relating in any way to your visit to the e-Shop shall be submitted to an appropriate court or other judicial body in Philippines, and all applicable provisions of this section shall apply.
General
You acknowledge and agree that these Terms, together with our Privacy Policy, constitute the complete and exclusive agreement between us concerning your use of the e-Shop and any purchase by you of any Items from Millicent's Closet, and supersede and govern all prior proposals, agreements, or other communications.
If any provision of these Terms is held to be illegal, invalid or unenforceable in whole or in part, then these Terms shall continue to be valid as to the other provisions and the remainder of the affected provision. Any waiver of any of the provisions of these Terms by Millicent's Closet shall not be deemed a waiver of any subsequent breach or default and shall in no way affect the other provisions of these Terms.
No failure to exercise and no delay on the part of either party in exercising any right, remedy, power or privilege of that party under these Terms and no course of dealing between the parties shall be construed or operate as a waiver thereof, nor shall any single or partial exercise of any right, remedy, power or privilege preclude any other or further exercise thereof or the exercise of any other right, remedy, power or privilege. The rights and remedies provided by these Terms are cumulative and are not exclusive of any rights or remedies provided by law. Time shall not be of the essence of these Terms as regards any of the times, dates and/or periods mentioned herein.
Nothing contained in these Terms shall be construed as creating any agency, partnership, or other form of joint enterprise between us.
We reserve the right to change these Terms at any time and we encourage you to revisit these Terms periodically to ensure that you are at all times fully aware of our Terms. Any changes are effective immediately upon posting to the Website. Your continued use of the Website constitutes your agreement to all such Terms.
We may, with or without prior notice, terminate any of the rights granted by these Terms. You shall comply immediately with any termination or other notice, including, as applicable, by ceasing all use of the Website.
We reserve the right to refuse to supply Items to any person for any reason whatsoever, to withdraw any Items from the Website at any time and/or remove or edit any materials or content on the Website. We will not be liable to you or any third party by reason of our withdrawing of any Items from this Website whether or not such Items have been sold; removing or editing content on the Website; refusing to process a transaction or unwinding or suspending any transaction after processing has begun.

Governing Law
Your use of this e-Shop and any purchase by you of any Item from Millicent’s Closet shall be governed by Philippine law and you hereto submit to the exclusive jurisdiction of the Philippines courts.

Promotions
Millicent’s Closet promotion winners must redeem their prize within 1 month of being notified by www.millicentscloset@gmail.com. We regret that promotions and discounts are not valid to use on Millicent’s Closet SALE items, and promotions and discounts do not apply when redeeming Closet Circle Member points and benefits. The first shipment of any prize through promotion is complimentary, with subsequent deliveries charged to the customer (if residing outside of the PHILIPPINES).
Closet Circle membership discount is not valid in conjunction with any other offer or promotion.
